Since the reinstatement of democratic governance on May 29, 1999, Nigeria has experienced several changes throughout the economy. The new era has brought with it a re-focus in both the public and private sectors regarding the way business should be done. Issues of privatization, commercialization, direct foreign investment, deregulation, public-private partnership and the like, have received much closer attention. There is a commonly acknowledged need for the rehabilitation and expansion of infrastructure generally, including in particular, agriculture, manufacturing, transportation, oil and gas, power and telecommunications. It is currently considered imperative to make the economy truly private-sector driven.

The new thinking has led to the commercialization and privatization of partially and fully owned government entities, a renewed emphasis on foreign direct investments, and public-private partnerships etc. The size, tenor and complexity of transactions are all rapidly changing. More to the point, the finance structure of business has become more complex, with movement away from import finance etc., towards longer tenured financing through the capital market, syndicated loans, project finance or simply the extension of dollar denominated credit lines through multilateral credit agencies.

As transactions grow more complex through an increase in number of parties, the structure of transactions, or the number of jurisdictions involved in a transaction, there has also arisen a demand for specialized corporate lawyers to facilitate the transactions and to, in a sense, mitigate the numerous risks involved. This need is brought into sharper focus when viewed against the background that a lot of national legislation has not been re-enacted or modified to cope with these recent developments in the Corporate and Financial sectors and the legal protection of the parties has been, therefore, primarily, the solicitors’ responsibility.
